The above mentioned company held its annual general
meeting on 14 April 2004 and approved the annual report and
distribution of profits for 2003.
All proposals on the agenda were approved, including the
proposal to amend the statutes.
The following were elected to serve on the Board: Ivar
Samrén, Svend Jakobsen, Ingar Skaug, Jill Lauritzen Melby
and Anders Moberg. KPMG C. Jespersen and Deloitte were
appointed as auditors. The proposed dividend of DKK 5.00
per share was approved, corresponding to a total pay out of
DKK 38 million.
The board was also authorised – until the next AGM – to
acquire shares in the company worth up to a total of 10% of
the nominal value of its share capital, as per the Danish
Public Limited Companies Act §48. The price must not
deviate by more than 10% from the buying price quoted at
the time on the Copenhagen Stock Exchange.
During the report on the company's activities, it was
mentioned that a decision has just been taken to buy a
sixth newbuilding from Flensburg Shipyard. The ship is
expected to be delivered in summer 2006 and the company
plans to sail it under the Danish flag.
After the annual general meeting, the first meeting of
the new board was held and Ivar Samrén was re-elected as
chairman and Svend Jakobsen as deputy chairman.
